The Investment Advisor is responsible for the strategy of the AIF…
…but PANDOO:

• Closely cooperates and partners with the Investment Advisor;
• Reviews and executes the investment strategy;
• Monitors and reviews the investment process;
• Assesses investment compliance with the agreed investment strategy;
• Supervises delegated functions (Portfolio Management).

We offer 2 models of Portfolio Management:

PANDOO assists AIFs in performing the following tasks:

• Analysing and defining the risk profile of the AIF;
• Reviewing and implementing risk management policies;
• Ongoing risk monitoring at asset and portfolio level;
• Monitoring the investment process to be in line with the AIFMD.

PANDOO takes over the following tasks & responsibilities:

• Regular stress testing of the liquidity risk of the AIF;
• Initial due diligence and ongoing monitoring of 3rd party service providers;
• Providing risk reports prior to any transaction (investment, disposal) as well as regular risk reporting.

• PANDOO can support in the pre-marketing phase by entering into a pre-marketing agreement;
• Supporting the notification process for the distribution of the AIF within the EU;
• Review and Oversight over external parties in charge of distribution of the AIF;
• The AIF benefits from PANDOO’s “EU Marketing Passport“;
• If needed PANDOO supports clients in identifying distributors in the EU and other markets.

PANDOO is responsible for the proper valuation of the AIF and its underlying assets and therefore:

• Establishes the valuation policy and reviews the valuation process;
• Ensures the independent valuation of the AIF’s assets;
• Supervises the NAV calculation process;
• Assists in the selection process and monitors the external valuer(s)/appraiser(s).

AIFM REPORTING
Based on information provided by the Investment Advisor/ Asset Manager/ Property Manager, PANDOO establishes Portfolio & Risk Management reports.

The reports cover amongst others the following topics:

• KPI and KRI
  • Investment restrictions
  • Risk Reporting, such as:
  • Counterparty risk,
  • Market risk,
  • Liquidity risk,
  • Operational risk,
  • Credit risk.
• Complaints

REGULATORY REPORTING
PANDOO Management will take care of the regulatory reporting to the national regulator as required by the
AIFM law and the delegated regulations.

• Review of the AML/CFT policy and risk appetite:
• AML/CFT risk assessment
• Monitoring function in relation with regards to AML/CFT, the controls performed on investors, investments; counterparties and delegates, including where these controls have been delegated,
• Reporting: The RC will issue an activity report to the RR on a yearly basis as well as ad hoc reporting when required
• Other services:
  • RAIF: The RC will assist the RR with the annual AML Survey, which the RR has to file with the AED, by reviewing the final draft.
  • SIF: The RC will assist the RR with the annual AML Survey, which the RR has to file with the CSSF, by reviewing the final draft.
  • Registration with the FIU’s goAML web application in order to communicate with and where necessary submit suspicious transaction reports independently of the RR as the case may be.

• PANDOO could provide one Luxembourg resident individual board member;
  • Board member will atttend the Board meetings as well as the shareholder meetings;
• The Board member will provide coordination services for all matters dealing with the General Partner of the AIF.
